Tenet Health-Care Corp. chairman and chief executive Jeffrey C. Barbakow's
compensation rose 20% , to 5.6 million in fiscal 2002. the company said in a
regulatory filing Wednesday.

Through the year ended May 31, Mr, Barbakow also received options valued
at $26.4 million and realized $111.1 million  upon exercising  an option on 3
million shares
, according to a proxy statement filed with the SEC .

Tenet a Santa Barbara based owner and manager of hospitals, said Mr.
Barbakow was granted an option to buy 1.5 million Shares at and exercise
price of $30.26 a share. The option expires
June 1, 2011 and are worh about
$26.4 million
based on the Black-Scholes stock option valuation model, which
considers factors such as stock price and the expiration date.

Mr. Barbakow's compensation includes a $1.2 million base salary, a $4.2 million
bonus, and $249,571 in other compensation.
Barbakow's bonus rose 24% from
$3.6 million in 2001.
